This DEED OF SALE (DOS) is made and executed by and between:

The National Food Authority, government agency created by virtue of Presidential Decree No. 4 pursuant to Proclamation No. 1081 as amended by Presidential Decree Nos. 1485, and 1770 with principal office address Philippine Sugar Center Bldg., North Avenue, Diliman, Quezon City, through its Administrator, __________________, who is duly authorized for this purpose under NFA Council Resolution No. 822-2016-E and General Memorandum Order (GMO) No. AO-2015-03-001, Series of 2015, as evidenced by the NFA Council Secretary’s Certificate dated May 19, 2016 and GMO a copy of which is hereto attached as Annexes”A2” & “A3”, hereinafter called the “VENDOR”;

WITNESSETH, that:

On _________________________, the VENDOR conducted a public bidding to dispose the above-described PROPERTY through sale on an “As-is-Where-is” basis.

The VENDEE was declared the highest bidder.

TERMS AND CONDITIONS

1. Taxes and expenses for the transfer of the title to the VENDEE shall be at the expense of the VENDEE;

2. Real Property Taxes, accrued or accruing after the execution of this Deed shall be borne by the VENDEE;

3. VENDEE shall take possession over the subject property only upon full payment of the total consideration;

4. Capital Gains Tax shall be paid by the VENDOR;

5. The VENDOR warrants valid title to, and peaceful possession of, the property herein sold and conveyed, and further declares that the same is free and clear of all liens and encumbrances of any kind whatsoever;
